Vendor Agreement

This Vendor Agreement (“Agreement”) sets forth the terms and conditions under which you (“Vendor,” “you,” or “your”) may offer products on Somtico Fashion Hub (“Platform,” “we,” “us,” or “our”). By registering as a Vendor, you agree to be bound by this Agreement in addition to our Terms & Conditions.

1. Vendor Eligibility & Registration

  1. Eligibility: You must be at least the age of majority and able to form legally binding contracts to become a Vendor.
  2. Account Creation: You agree to provide accurate information during registration and keep it updated. You are responsible for maintaining the confidentiality of your account credentials.

3. Listing & Selling Products

  1. Currency & Display of Prices: All prices on Somtico Fashion Hub are displayed in Canadian Dollars (CAD), as the Platform is based in Canada.
    While vendors are not required to set the currency themselves (it is automatically displayed in CAD), it’s important to be mindful when converting your local prices into CAD during product setup. If you use Google to calculate currency conversions, please ensure that your query includes “CAD” — for example:
    ✅ 10,000 Naira in CAD
    ❌ Not 10,000 Naira in dollars
    This is to avoid confusion that may occur when comparing payouts to USD-based conversions. We have observed cases where vendors expected a higher payout due to mistakenly converting to USD instead of CAD.
    This guidance is provided to help vendors set accurate prices and manage their expectations at the time of withdrawal requests.
  2. Compliance: All products must comply with applicable laws, regulations, and Somtico Fashion Hub policies.
  3. Accuracy: You must provide accurate descriptions, pricing, and images of your products.
  4. Inventory & Fulfillment: You are solely responsible for maintaining adequate inventory and fulfilling orders promptly.
  5. Customer Service: You agree to handle customer inquiries and resolve any issues related to your products, including returns and refunds, in a timely and professional manner.

2. Vendor Fees

  1. Subscription Fee: Vendors may be required to pay a monthly subscription fee as stated on the Platform.
  2. Commission: We take 15% of each successful purchase made through the Platform. This commission is automatically deducted before your payout.
  3. Withdrawal Fees:
    • Bank Account Withdrawal: 1% + $1 CAD per withdrawal.
    • Interac e-Transfer: Free (only valid for email addresses with autodeposit enabled).
  4. Minimum Withdrawal: The minimum withdrawal limit is $50. You will not be able to initiate a withdrawal if your balance is below this amount.
  5. Payment Schedule: Payouts to Vendors will follow the schedule outlined on the Platform or communicated via email. If a transaction is refunded or disputed, commission fees may be reversed or adjusted accordingly.
  6. International Shipping Surcharge (For Vendors Shipping Internationally): For vendors whose products are shipped internationally (i.e., to buyers located outside the country of origin), Somtico Fashion Hub applies a fixed surcharge on top of your listed price. This surcharge is added for the purpose of covering the high cost of international shipping. It is not included in your vendor earnings and is therefore not subject to commission deductions.
    • The surcharge amount is currently $30 CAD, but is subject to change without prior notice.
    • Examples:
      • If you list a product for $30, the customer may see it listed as $60. You will receive your usual earnings based on your $30 listing, and the additional $30 goes toward shipping costs.
      • If you list a product at $20, it may appear as $50 to the customer, with the extra $30 again reserved for shipping.
    • This approach helps us balance shipping affordability for customers while ensuring your earnings are unaffected. You will still see your original prices in your vendor dashboard when editing your products.

4. Product Content & Licensing

  1. Ownership: You retain ownership of your photos, videos, and product descriptions (“Vendor Content”).
  2. License to Somtico Fashion Hub: By uploading any Vendor Content, you grant Somtico Fashion Hub a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display such content for promotional or marketing purposes.
  3. Opt-Out: If you do not wish your Vendor Content to be used for promotional purposes, please inform us at co*******@*****co.com. We will remove your content from future marketing materials.

5. Vendor Responsibilities

  1. Legal Compliance: You must ensure all products and operations comply with local and international laws, including export/import regulations and taxes.
  2. Order Fulfillment:
    • In-Stock Products: You must dispatch in-stock items to the designated shipping location/collation centre within three (3) business days of receiving the order, excluding weekends and national public holidays.
    • Back Orders: For back-ordered items, you must dispatch the product within seven (7) business days of receiving the order, excluding weekends and national public holidays.
  3. Quality & Authenticity: You guarantee that all products offered are authentic and accurately described.
  4. Prohibition of Off-Platform Sales: Vendors are strictly prohibited from sending private messages to buyers or otherwise contacting them with the intent to facilitate purchases outside the Platform. Any attempt to circumvent Platform fees or commissions is grounds for account suspension or termination.
  5. Customer Relations: You will address any returns, refunds, or disputes directly with the customer. If necessary, Somtico Fashion Hub may step in to mediate.

6. Intellectual Property

You confirm that you own or have the necessary rights to all intellectual property associated with your products and that you will not infringe upon third-party rights. You will indemnify Somtico Fashion Hub against any IP-related claims arising from your listings.

7. Limitation of Liability

Somtico Fashion Hub shall not be liable for indirect, incidental, special, or consequential damages, including lost profits, arising from your use of the Platform or sale of products. Our total liability to you shall not exceed the total commission fees paid by you over the last 6 months.

8. Term & Termination

  1. Term: This Agreement remains in effect as long as you maintain a Vendor account.
  2. Termination by You: You may terminate this Agreement at any time by contacting us.
  3. Termination by Somtico Fashion Hub: We may suspend or terminate your account if you violate this Agreement or any Platform policies.

9. Amendments

We reserve the right to update or modify this Agreement at any time. Changes will be posted on our Platform, and continued use by you indicates acceptance of the updated terms.

10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Saskatchewan, Canada. Any dispute arising under this Agreement will be resolved through binding arbitration in accordance with applicable laws.
